These Terms & Conditions (“Terms”) govern your use of the website and services offered by Edgewood Development Group, LLC DBA James Francis Interiors (“Company,” “we,” “our,” or “us”), a California limited liability company.

By accessing this website or engaging our services, you agree to these Terms.

 

1. Nature of Services

The Company provides professional interior design consulting and advisory services. All recommendations, concepts, mood boards, sourcing guidance, and design direction are advisory in nature unless otherwise expressly agreed in a separate written agreement.

Nothing on this website constitutes architectural, engineering, or contractor services.

 

2. No Guarantee of Results

Interior design involves subjective aesthetic judgment. The Company does not guarantee any specific outcome, resale value, contractor performance, or client satisfaction.

Client acknowledges that final implementation decisions remain the Client’s responsibility unless separately contracted in writing.

 

3. Payments & Refunds

All payments are governed by our Payments, Fees & No Refund Policy. Fees are earned upon commencement of services and are non-refundable.

 

4. Intellectual Property

All website content, design concepts, written materials, presentations, mood boards, graphics, and deliverables are the intellectual property of the Company unless otherwise agreed in writing.

Clients receive a limited, non-transferable license to use deliverables for personal, non-commercial use only.

No content may be reproduced, distributed, modified, or used commercially without prior written consent.

 

5. Third-Party Vendors & Contractors

The Company may recommend third-party vendors, contractors, or suppliers. The Company is not responsible for:

  • Contractor workmanship

  • Vendor performance

  • Product defects

  • Installation errors

  • Delays or supply chain disruptions

All agreements with third parties are solely between Client and such third parties.

 

6. Website Use

You agree not to:

  • Use the website for unlawful purposes

  • Attempt to gain unauthorized access

  • Introduce malware or harmful code

  • Copy or scrape website content

We reserve the right to restrict access for misuse.

 

7. Limitation of Liability

To the maximum extent permitted by California and federal law:

The Company’s total liability arising out of or relating to services or website use shall not exceed the total fees paid by the Client to the Company for the specific services giving rise to the claim.

Under no circumstances shall the Company be liable for:

  • Indirect damages

  • Consequential damages

  • Incidental damages

  • Loss of profits

  • Loss of business opportunities

  • Emotional distress

  • Property value fluctuations

This limitation applies regardless of legal theory.

 

8. Indemnification

Client agrees to indemnify and hold harmless the Company from any claims, damages, losses, or expenses arising out of:

  • Client’s implementation of design recommendations

  • Contractor or vendor disputes

  • Client misuse of deliverables

  • Breach of these Terms

 

9. Mediation & Dispute Resolution

In the event of a dispute, the parties agree to first attempt resolution through good-faith informal discussions.

If unresolved, disputes shall be submitted to mediation in San Diego County, California, before any litigation is initiated.

If litigation becomes necessary, exclusive venue shall be in the state or federal courts located in San Diego County, California.

The prevailing party shall be entitled to recover reasonable attorneys’ fees and costs where permitted by law.

 

10. Compliance with Law

Nothing in these Terms limits rights that cannot be lawfully waived under California or federal law.

 

11. Privacy & Accessibility

Your use of this website is also governed by our Privacy Policy and Accessibility Statement, which are incorporated by reference.

 

12. Changes to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be effective upon posting.

Continued use of the website constitutes acceptance of revised Terms.
